Dispute settlement
(a) Arbitration: Except as expressly provided in this Section 21 and subject to Section 21(c), all disputes, controversies and claims arising out of, in connection with or in connection with these Terms terms, the Website, or any related matter (collectively, "Disputes" and each a "Dispute") will be referred and ultimately resolved by binding arbitration administered by the Canadian Arbitration Association in accordance with its rules and these Terms and ConditionsThere will be a sole arbitrator and the arbitration will be private and confidential.The arbitration will take place in Toronto, Ontario and the language used in the arbitration will be the English language.Any award rendered in arbitration is final and binding and judgment on the award may be entered in any court having jurisdiction to enforce it.Notwithstanding the foregoing, if the total amount of the award sought in an arbitration (not including legal fees and costs) is CAD$10,000 or less, then the arbitration will be subject to the Rules of Court plus Courts of the Canadian Arbitration Association and, unless you and Inka Nature Traditions expressly agree in writing to the contrary: (i) the arbitration will be conducted solely on the basis of written evidence (declarations or affidavits) and arguments writings submitted by or on behalf of each of you and Inka Nature Traditions; and (ii) there will be no in-person hearing (including any hearing by teleconference, videoconference or web conference) of parties, witnesses or legal counselNotwithstanding the foregoing, this Section 21(a) does not apply to a Dispute based on infringement, misappropriation or violation of intellectual property rights (including copyrights and trademarks)(b) Legal Disputes: If and to the extent, and for any reason, a Dispute is not submitted to arbitration as set out in Section 21(a), then, subject to Article 21
(c), the Dispute shall be resolved before the Supreme Court of Ontario sitting in the City of Toronto, and you and Inka Nature Traditions hereby irrevocably submit and consent to the original and exclusive jurisdiction of such court in respect of all such disputes, except that Inka Nature Traditions may bring legal action against you in the competent courts of any other jurisdiction seeking injunctive relief (or similar urgent legal remedies) to avoid irreparable harm or to preserve the status quo or to enforce the terms and conditions(c) Informal Dispute Resolution: Before initiating arbitration or litigation regarding a Dispute: (i) you will notify Inka Nature Traditions customer service representatives of the dispute at service@inkanaturecom or 1-888-343-3278 (US) or 1-800-304-1497 (Canadian customers)and Inka Nature Traditions at least thirty (30) days to investigate and attempt to resolve the dispute; and (ii) upon request by Inka Nature Traditions during the thirty (30) day period, you will participate in good faith discussions regarding the dispute with a view to resolving the dispute in a reasonable manner.(d) Temporary/Injunctive Relief: Notwithstanding that a Dispute is submitted to arbitration under Section 21(a): (i) either you or Inka Nature Traditions may bring an action in the Supreme Court of Ontario sitting in the City of Toronto, seeking injunctive relief (or similar urgent legal remedies) to avoid irreparable harm or to preserve the status quo, and you and Inka Nature Traditions hereby irrevocably submit and acknowledge the non-exclusive jurisdiction of such court with respect to such matters; and (ii) Inka Nature Traditions may sue you in the competent courts of any other jurisdiction seeking injunctive relief (or similar urgent legal remedies) to avoid irreparable harm or to preserve the status quo or to enforce these Terms. general
(e) NO JURY OR CLASS ACTION: YOU AND INKA NATURE TRADITIONSEACH IRREVOCABLY WAIVES ANY RIGHT TO A JURY TRIAL OR TO BEGIN OR PARTICIPATE IN ANY ARBITRATION OR CLASS OR REPRESENTATIVE LITIGATIONANY ARBITRATION OR DISPUTE CONCERNING DISPUTES SHALL BE BROUGHT BY YOU OR INKA NATURE TRADITIONS AS AN INDIVIDUAL, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDINGWAIVER OF THE RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE PROCEEDING IS PROHIBITED BY LAW IN SOME JURISDICTIONS
